Sales Agreement (no breeding rights)
This Sales Agreement (“Agreement”) is made and entered into on ________date____ by and between:
SELLER:
hereinafter referred to as "Breeder" or "Seller"
and BUYER:
hereinafter referred to collectively as "Buyer(s)".
Buyer(s) shall be jointly and severally liable under this Agreement.
The Kitten is sold strictly as an indoor companion animal and without breeding rights.
Buyer shall not breed, attempt to breed, or allow the Kitten to be bred under any circumstances.
Any violation of this provision shall constitute a material breach of this Agreement.

Buyer agrees not to alter, remove, or tamper with the microchip.
The terms of sale of the above Kitten are as follows:
A nonrefundable deposit of $500 is required to reserve the Kitten. The deposit is nonrefundable under all circumstances except in the event Seller cancels the sale. The deposit may be paid via Venmo, Zelle, or Cash App.
The remaining balance may be paid via Venmo, Zelle, Paysend, Cash App, cashier’s check, or cash. Personal checks will not be accepted. Payment must be received in cleared funds prior to release of the Kitten.
Final payment must be received no later than five (5) calendar days prior to the scheduled shipping or pick-up date. If final payment is not received within the required time frame, Seller may terminate this Agreement without further notice, retain the deposit, and offer the Kitten for sale to another party.

1. Right to Cancel / Refund Policy
1.1. The Seller reserves the right to cancel the purchase at any time before the Kitten is transported if the Seller becomes aware of any circumstances regarding the Buyer that may render the new home unsuitable for the Kitten, as determined in Seller’s sole discretion. Such circumstances may include, but are not limited to: the presence of other pets that may pose a risk, inadequate living conditions, history of animal abuse or neglect, refusal to comply with vaccination or spay/neuter requirements, or other factors that may endanger the welfare of the Kitten.
1.2. In such cases, the Seller will refund all money paid for the Kitten using the same method of payment, except for the non-refundable deposit of $500, which will be retained by the Seller. Refunds will be processed within fourteen (14) business days of cancellation.
1.3. In the event of the Kitten’s death prior to transfer of possession to Buyer, Seller shall provide written veterinary documentation confirming the death and shall refund all monies paid toward the purchase price.
1.4. The Buyer acknowledges and agrees that cancellation under this clause does not entitle the Buyer to any additional compensation, damages, or claims, including but not limited to consequential or incidental damages.
1.5. Refunds will be made using the same payment method used by the Buyer, unless otherwise agreed in writing by both Parties.
Seller’s liability under this section shall be limited solely to the refund of monies paid.
2. The Breeder’s guarantees.
2.1. Seller guarantees that for a period of twelve (12) months from the Kitten’s date of birth, the Kitten shall not be diagnosed with a life-threatening genetic condition limited to Hypertrophic Cardiomyopathy (HCM), Spinal Muscular Atrophy (SMA), or Pyruvate Kinase Deficiency (PKDef), provided such condition is confirmed by a licensed veterinarian (if living) or by necropsy performed by a licensed veterinary pathologist (if deceased). Buyer must notify Seller in writing and provide a copy of the licensed veterinarian’s written report or necropsy report, including verification of the Kitten’s microchip number. If a covered genetic condition is confirmed, Buyer shall be entitled to one (1) replacement Kitten of equal value, at Seller’s discretion, from a future available litter. Replacement shall be provided when available.
This replacement shall be Buyer’s sole and exclusive remedy. No monetary refund shall be issued, and Seller shall not be responsible for veterinary expenses, shipping costs, or any other related expenses.
2.2. Seller guarantees that the Kitten is in good general health at the time of transfer of possession to Buyer. Buyer has seventy-two (72) hours from the time the Kitten leaves Seller’s possession to have the Kitten examined by a licensed veterinarian.
Any medical concern discovered within this seventy-two (72) hour period must be reported to Seller within twenty-four (24) hours of discovery and must be accompanied by a written report from a licensed veterinarian. Failure to comply with these requirements shall void this health guarantee.
2.3. The Kitten will be provided with age-appropriate vaccinations (FVRCP and Rabies, if age permits), microchip identification, and a health record at the time of pick-up or delivery.
2.4. Seller represents that the Kitten has been examined and found to be in good general health at the time of transfer. Minor conditions common in kittens, including but not limited to parasites, stress-related illness, or mild upper respiratory symptoms, shall not constitute grounds for replacement or refund.
2.5. All guarantees are contingent upon the Kitten being maintained in a proper indoor environment, receiving appropriate veterinary care, proper nutrition, and being kept free from exposure to contagious animals or unsanitary conditions. Failure to provide proper care shall void all guarantees contained herein.
2.6. If the Kitten dies from Feline Infectious Peritonitis (FIP) within three (3) months from the pick-up date, Buyer may request one (1) replacement Kitten of equal value, provided that:
(a) A necropsy is performed by a licensed veterinary pathologist;
(b) The necropsy report confirms FIP as the cause of death; and
(c) The report includes verification of the Kitten’s microchip number.
Replacement shall be provided when available from a future litter. No monetary refund shall be issued.
2.7. Under no circumstances shall Seller be liable for veterinary expenses, transportation costs, emotional distress, incidental damages, or consequential damages.
Seller’s liability under this Section shall be limited solely to the replacement remedy described herein.
3. Quarantine.
Buyer shall maintain the Kitten in strict indoor quarantine, isolated from all other animals, for a minimum of fourteen (14) consecutive calendar days following transfer of possession to Buyer. Failure to comply with this quarantine requirement shall void all health guarantees provided under this Agreement.
4. Vaccination Policy.
4.1. The Kitten has received age-appropriate vaccinations prior to leaving the cattery. Buyer will be provided with a written vaccination record. Seller recommends that Buyer consult with a licensed veterinarian regarding any future vaccination schedule.
4.2. Buyer agrees not to administer or permit the administration of additional or repeat vaccinations within the first year of the Kitten’s life without prior consultation with Seller.
If Buyer elects to revaccinate the Kitten contrary to Seller’s recommendation, Seller shall not be responsible for any health condition alleged to be caused or aggravated by such vaccination.
4.3. Seller does not recommend administration of the Feline Leukemia Virus (FeLV) vaccine for an indoor-only Kitten unless specifically advised by a licensed veterinarian based on documented risk exposure.
4.4. If Buyer elects to administer the FeLV vaccine, Buyer acknowledges and agrees that:
(a) Such decision is made at Buyer’s sole discretion;
(b) Seller shall bear no responsibility for any adverse reaction, illness, injury, or complication allegedly related to such vaccination;
(c) All risks associated with FeLV vaccination are assumed solely by Buyer; and
(d) All health guarantees provided under this Agreement shall be void with respect to any condition reasonably alleged to be related to vaccination.
5. Parasite control.
Buyer agrees to maintain the Kitten free from internal and external parasites through appropriate and timely veterinary-recommended preventive care.
Buyer shall not use flea dips or harsh chemical treatments known to pose risk to kittens.
Seller strongly recommends the use of veterinarian-prescribed parasite prevention products.
Failure to provide appropriate parasite prevention or use of unsafe chemical treatments shall void any applicable health guarantees under this Agreement.
6. Authorization to Obtain Veterinary Information
6.1. Buyer authorizes Seller, for the duration of any applicable health guarantee period under this Agreement, to request and obtain relevant veterinary records relating to the Kitten’s health, vaccinations, examinations, and treatment.
6.2. Buyer agrees to sign any necessary veterinary authorization forms reasonably required to allow verification of health claims under this Agreement.
6.3. Buyer agrees to notify Seller in writing within forty-eight (48) hours of diagnosis of any serious illness potentially covered under the health guarantee and to provide a copy of the licensed veterinarian’s written report.
6.4. Seller agrees to use any obtained information solely for purposes related to enforcement of the health guarantees under this Agreement.
7. Authorization for Use of Photos and Videos.
7.1. The Buyer hereby acknowledges and agrees that any photographs or videos of the Kitten publicly posted by the Buyer on social media, messaging platforms, websites, or other public sources may be used, reposted, and shared by the Breeder on the Breeder’s social media accounts, website, and promotional materials. Buyer represents that they have the legal right to grant this authorization for any photographs or videos posted by them.
7.2. The Breeder may use such content in its original form or with non-defamatory edits (cropping, quality enhancement, adding text or the cattery logo).
7.3. The Breeder may use, repost, or share any photographs or videos of the kitten freely, provided that no identifiable faces of children or adults are visible. If any photograph or video depicts the face of a child or any identifiable person, the Breeder must obtain the Buyer’s prior written consent before reposting, sharing, or using such content.
7.4. The Buyer confirms that the use of photographs and videos of the Kitten does not require additional consent or compensation, and this authorization is granted for an unlimited duration. This authorization shall survive termination of this Agreement.
8. Buyer’s Responsibility for Expenses
8.1. Buyer assumes responsibility for all expenses related to the Kitten from the time of transfer of possession. Buyer is also responsible for any additional expenses incurred at Buyer’s request prior to transfer.
8.2. Buyer understands this Kitten has been kept in an appropriate environment for socialization and development, and agrees to follow recommendations provided at time of transfer for diet, fourteen (14) day quarantine/isolation, and transition. Failure to follow such recommendations may void applicable health guarantees under this Agreement.
8.3. Buyer acknowledges that temperament and behavior are influenced by environmental factors beyond Seller’s control. Behavioral traits or changes shall not constitute grounds for refund, replacement, or return of the Kitten.
9. Diet and Nutrition Requirements.
9.1. Buyer agrees to provide the Kitten with high-quality, species-appropriate nutrition in appropriate quantities.
9.2. Seller has provided feeding recommendations at the time of transfer. Buyer agrees that failure to provide proper nutrition resulting in illness, malnutrition, or health deterioration shall void any applicable health guarantees under this Agreement.
9.3. Buyer acknowledges that improper diet may negatively affect the Kitten’s health and development, and
Seller shall not be responsible for any health conditions reasonably determined by a licensed veterinarian to be caused by inadequate or inappropriate nutrition.
10. No Declawing.
Buyer agrees that the Kitten shall never be declawed or subjected to onychectomy or any similar surgical procedure intended to remove or permanently alter the claws.
Buyer acknowledges that declawing is considered a serious welfare concern and constitutes a material breach of this Agreement.
In the event of declawing, Seller reserves the right to pursue appropriate legal remedies under applicable law, including injunctive relief and recovery of reasonable attorney’s fees.
11. Living Environment.
11.1 Buyer agrees that the Kitten shall be kept indoors only, except when under direct supervision on a leash, in a carrier, or within a securely enclosed area.
11.2 Right to Verify Living Conditions. If Seller has reasonable and documented concern that the Kitten may be subjected to abuse, neglect, or inadequate care, Seller may request, upon reasonable notice, reasonable visual verification of the Kitten’s living conditions via live video call or photographs.
11.3 Buyer agrees to cooperate in good faith with such reasonable request.
Failure to cooperate may be considered a material breach of this Agreement, and Seller reserves the right to pursue appropriate legal remedies under applicable law.
11.4 Buyer agrees to provide a smoke-free indoor environment for the Kitten and acknowledges that prolonged exposure to tobacco or other inhaled substances may negatively impact the Kitten’s health.
Failure resulting in demonstrable harm to the Kitten may void applicable health guarantees.
12. Confidentiality.
12.1. Both parties agree to keep confidential and not disclose to any third party any personal information obtained in connection with this Agreement, including but not limited to names, addresses, telephone numbers, email addresses, payment information, and private communications, without prior written consent of the other party.
This provision shall not apply to disclosures required by law, court order, governmental authority, or as reasonably necessary for enforcement of this Agreement.
This confidentiality obligation shall survive termination of this Agreement.
13. Return, Rehoming, First Refusal.
13.1. Under no circumstances shall the Kitten be surrendered to a shelter, rescue organization, pet shop, research facility, or similar entity.
13.2. In the event that the Buyer becomes unable or unwilling to continue caring for the Kitten/Cat, the Buyer must first notify the Breeder and offer to return the Kitten. The Buyer shall return the animal to the Breeder free of charge, with full transfer of ownership rights. The Breeder shall have the right, at the Breeder’s sole discretion, to resell or rehome the animal to another client. In the event of a successful resale, the Buyer shall be entitled to receive the resale proceeds, less a twenty percent (20%) fee retained by the Breeder for expenses, as well as any applicable sales taxes.
13.3. The Buyer shall not give away, sell, gift, transfer, or otherwise rehome the Kitten/Cat to any third party without prior written notification to, and approval from, the Breeder. Any such transfer made without the Breeder’s consent shall constitute a material breach of this Contract. In the event of such breach, the Breeder shall have the right to pursue legal action and seek all available remedies, including but not limited to damages, injunctive relief, and recovery of attorney’s fees and court costs.
13.4. In the event of neglect, abuse, or material breach of this Agreement, Seller reserves the right to pursue appropriate legal remedies under applicable law, including injunctive relief. Any transfer of possession or ownership shall occur only pursuant to mutual written agreement or court order.
13.5. If Buyer wishes to sell or transfer the Kitten, Seller shall have a right of first refusal.
13.6. Transfer of Ownership Upon Death of Buyer.
In the event of the Buyer’s death, ownership of the Kitten shall transfer in accordance with applicable law.
If the Buyer’s family members or legal heirs are unwilling or unable to assume responsibility for the Kitten, they shall notify the Seller in writing within a reasonable period of time.
Seller shall have a right of first refusal to take possession of the Kitten under terms mutually agreed upon in writing.
If the Kitten is voluntarily returned to the Seller, ownership shall transfer to the Seller upon written confirmation of such transfer, at no cost to the Seller.
The Buyer acknowledges and agrees that it is the Buyer’s responsibility to inform their family members or legal heirs of this provision and of the Seller’s right of first refusal in the event of the Buyer’s death.
14. Communication and Updates.
14.1. Each party agrees to promptly notify the other of any changes to their email address, mailing address, or telephone number.
14.2. Buyer may, at their discretion, provide updates, photographs, or news regarding the Kitten to the Seller. Such updates are voluntary and do not create any ongoing reporting obligation unless otherwise stated in this Agreement.
15. Dispute Resolution.
15.1. Good Faith Resolution. The Parties agree to make good faith efforts to resolve any dispute, claim, or disagreement arising out of or relating to this Agreement through direct communication before initiating formal legal proceedings.
15.2. Notice of Dispute. In the event of a dispute, the complaining Party shall provide written notice describing the issue in reasonable detail and allow the other Party a reasonable opportunity to respond and attempt resolution.
15.3. No Waiver of Legal Rights. Nothing in this Section shall prevent either Party from seeking advice from legal counsel, consulting licensed professionals (including veterinarians), or pursuing remedies available under applicable law.
15.4. Defamation. Neither Party shall knowingly make false statements of fact about the other Party that are intended to cause reputational harm. Nothing in this Agreement shall prohibit truthful statements, good faith reviews, or reports to appropriate authorities.
15.5. Remedies. In the event of a material breach of this Agreement, the non-breaching Party may pursue all remedies available under applicable Minnesota law.
16. Governing Law and Enforcement.
16.1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota.
16.2. Venue. Any legal action arising out of or relating to this Agreement shall be brought in the District Court of Dakota County, State of Minnesota, and the Parties consent to the personal jurisdiction of such court.
16.3. Enforcement and Remedies. In the event of a material breach of this Agreement, the non-breaching Party may seek appropriate relief under applicable law. The prevailing Party in any legal action may be entitled to recover reasonable attorney’s fees and court costs, as determined by the court.
17. Acknowledgment & Legal Effect.
17.1. The Buyer acknowledges that they have read, understood, and voluntarily accepted all terms, responsibilities, obligations, and risks associated with the purchase of a live animal, and agree to be bound by the terms and conditions of this Agreement.
17.2. The Parties acknowledge that this Agreement constitutes a legally binding contract under the laws of the State of Minnesota. The Buyer confirms that they have had the opportunity to ask questions regarding this Agreement and to seek independent legal advice prior to signing.
17.3. Entire Agreement. This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions, representations, or agreements, whether oral or written.
17.4. Amendments. Any modification or amendment to this Agreement must be made in writing and signed by both Parties.
17.5. Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.6. Waiver. Failure of either Party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.
17.7. Copies. Both Parties acknowledge receipt of a copy of this Agreement.
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the dates set forth below.
Electronic Signatures. The Parties agree that electronic signatures shall be deemed valid and binding as original signatures for all purposes.
